Terms of Service

Velo is a software-as-a-service platform that collects employee survey responses, uses artificial intelligence to generate process analysis reports, and produces automation opportunity recommendations. The Service is provided for informational and planning purposes only.

All reports, analyses, roadmaps, skill specifications, and recommendations generated by the Service are produced by AI models and are informational only. They do not constitute professional advice of any kind — including but not limited to legal, financial, operational, employment, or technical advice.

You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or omissions.
• Recommendations should be independently reviewed by qualified professionals before implementation.
• We make no warranty that any suggested automation will achieve the projected savings, impact, or outcomes shown.
• Any business decisions made based on the Service output are made at your sole discretion and risk.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any results obtained from the Service will be accurate, reliable, or complete.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HAIM ATEYA OR ANY OF HIS AFFILIATES, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, business, or goodwill;
• Damages resulting from reliance on AI-generated analysis or recommendations;
• Damages resulting from unauthorized access to or alteration of your data;
• Any other damages arising out of or related to your use of the Service.

This limitation applies regardless of the legal theory under which such damages are sought and even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

You are solely responsible for:

• Obtaining all necessary consents from employees before collecting their survey responses through the Service.
• Complying with all applicable data protection laws, labor laws, and employment regulations in your jurisdiction.
• The accuracy of information you provide to the Service.
• All decisions made based on Service output, including hiring, restructuring, automation, or business strategy decisions.
• Maintaining the confidentiality of your account credentials and admin access tokens.
• Any use of the Service that violates these Terms or applicable law.

You agree not to use the Service to:

• Collect data from individuals without their knowledge or consent.
• Violate any applicable law or regulation.
• Attempt to reverse-engineer, decompile, or circumvent any security measures.
• Transmit any harmful, offensive, or unlawful content.
• Resell or sublicense the Service without prior written consent.

You agree to defend, indemnify, and hold harmless Haim Ateya and his affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any decisions, actions, or outcomes resulting from your use of AI-generated content produced by the Service.

The Service, including its software, design, and underlying AI prompts, is owned by Haim Ateya and protected by applicable intellectual property laws. You retain ownership of data you submit. You grant us a limited license to process your data solely to provide the Service.

Reports and outputs generated by the Service based on your data are licensed to you for your internal business use. You may not resell or redistribute them without consent.

The Service uses third-party AI providers (including Anthropic) to generate analysis. We are not responsible for the accuracy, availability, or performance of these third-party services. Their use is governed by their own terms of service and privacy policies.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time. Sections 2, 3, 4, 7, and 11 survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the competent courts located in Tel Aviv, Israel. You waive any objection to jurisdiction or venue in such courts.

We may update these Terms from time to time. We will indicate the date of the latest revision at the top of this page. Continued use of the Service after changes constitutes acceptance of the revised Terms.
